These Terms of Service ("Terms") constitute a legally binding agreement between you and Ascend AI Technologies, Inc. ("Ascend AI," "Company," "we," "our," or "us"), a corporation incorporated in Delaware, USA, with its principal office at 1700 Market Street, Suite 1005, Philadelphia, PA 19103.

By accessing or using our website, platform, APIs, or any related services (collectively, "Services"), you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use our Services.

You represent that you are at least 18 years of age, have the legal capacity to enter into binding contracts, and are not prohibited from using the Services under applicable law.

To access certain features of the Services, you must register for an account. By registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the confidentiality of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

The Services are not available to residents of countries subject to comprehensive US economic sanctions or where cryptocurrency trading is prohibited by law. You represent that you are not located in, or a national of, such a jurisdiction.

To comply with applicable anti-money laundering (AML) and know-your-customer (KYC) regulations, we require identity verification before you can access certain Services, including withdrawals and higher trading limits. You agree to:

• Submit valid government-issued identification documents
• Provide proof of address and, in some cases, source of funds
• Cooperate with enhanced due diligence requests if triggered by risk screening
• Acknowledge that we may suspend or terminate accounts that fail verification

We may be required by law to report suspicious activity to relevant authorities without notifying you.

You may use our Services only for lawful purposes. You agree NOT to:

• Use the Services for money laundering, fraud, market manipulation, or any illegal financial activity
• Use automated scripts, bots, or scrapers to access the Services without our written consent
• Attempt to reverse engineer, decompile, or extract the source code of our platform
• Circumvent, disable, or interfere with security features of the Services
• Share your account credentials with any third party
• Use the Services to harm, threaten, or harass other users
• Violate any applicable local, state, national, or international law or regulation
• Impersonate Ascend AI or any employee, partner, or other user

5.1 No Financial Advice

Ascend AI provides technology tools including AI-powered market analysis, trading signals, and portfolio visualization. Nothing on our platform constitutes investment advice, financial advice, trading advice, or any other type of advice. All trading decisions are made solely by you, and you are solely responsible for evaluating the merits and risks of those decisions.

5.2 Risk Disclosure

Digital asset markets are highly volatile. The value of digital assets can decrease to zero. Past performance of any asset, signal, or strategy displayed on our platform does not guarantee future results. You may lose some or all of your invested capital. Only invest amounts you can afford to lose.

5.3 Fees

Our fee schedule is disclosed on the pricing page of our website and within the platform. We reserve the right to change fees upon 30 days' notice. Continued use of the Services after a fee change constitutes acceptance of the new fees.

5.4 Order Execution

We do not guarantee that any trade order will be executed at a particular price or at all. Orders may be subject to delays, partial fills, or rejection due to market conditions, liquidity, technical issues, or regulatory requirements.

The Services and all content, features, and functionality (including but not limited to software, algorithms, AI models, text, graphics, logos, and data compilations) are owned by Ascend AI Technologies, Inc. and are protected by US and international copyright, trademark, patent, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms. You may not copy, reproduce, distribute, or create derivative works from any content without our express written permission.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted or error-free; (b) AI signals or market data will be accurate, complete, or timely; (c) defects will be corrected; or (d) the Services or servers are free of viruses or other harmful components.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ASCEND AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU TO ASCEND AI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

You agree to indemnify, defend, and hold harmless Ascend AI Technologies, Inc. and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your violation of applicable law.

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including if we believe you have violated these Terms. You may terminate your account at any time by contacting us at support@ascendai.online.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 6, 7, 8, 9, 11, and 12.

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania and the federal laws of the United States of America, without regard to conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If unresolved within 30 days, disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with proceedings held in Philadelphia, Pennsylvania. You waive your right to a jury trial and to participate in a class action.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, for significant changes, by sending an email to registered users. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.
